Why do managed developments in Northern Ireland usually require a director?

Managed developments in Northern Ireland require directors because they are structured as limited companies responsible for maintaining the shared areas of the building/development, and also for providing legal oversight to manage budgets, insurance, and compliance with the Companies Act of 2006, which governs how limited companies must operate in the UK. In a general sense, directors are also vital to ensure that there is a responsible individual/group of people who are keen to proactively manage the future of a development and ensure that it does not fall into disarray both physically and financially.

It is very important that directors are in place in managed developments. Without them, the management company can be struck off Companies House which becomes an entirely different challenge altogether and can impact shareholders being able to sell their property. There might also be financial penalties.

What are the key responsibilities of a director in a managed property development in Northern Ireland?

Being a director in a development comes with a variety of responsibilities, particularly around holding the managing agent to account and ensuring the development is run effectively. Responsibilities can include:

  • Overseeing development finances including approving the end of year accounts

  • Working with the managing agent to set annual budgets

  • Planning and approving capital works

  • Chairing meetings and signing off minutes

  • Leading the tendering process if homeowners want to change managing agent

What skills and qualities make an effective director of a managed development?

Being an effective director of a development requires tenacity and patience mostly. It can be challenging putting yourself forward as one of the key shareholders willing to look after the development in line with the managing agent. There can be a lot of conflicting voices and challenging queries to deal with, but this is the importance of having an experienced managing agent like Charles White on board. How are directors appointed? 

Directors are appointed in line with the rules set out in the Articles of Association. This is one of the foundation company documents setting out the governance structure of the company.

A shareholder can put themselves forward to become a director at any time, but it is mostly done at Annual General Meetings (AGMs) as most developments like this to go through a voting procedure. This also helps ensure transparency and keeps all residents involved and informed.

How do you support directors of your developments?

We help directors by always being at the other end of the phone or email, answering queries and helping provide guidance. We can also arrange director’s meetings at any time as per their request and arrange to meet them during our site visits.

What difference does having a director like Roy have on the management of a development?

For me personally, having someone like Roy as the director of a development, helps keep me organised and committed to delivering the best that I can for the development. Having a director like Roy, who has been a longstanding owner and who knows the development and its other shareholders, helps me rule out the potential of grey areas where I might not be aware how best to help. We are able to work together to get jobs done, and plan for the proactive management of the development’s future.

What motivated you to become a director of your managed development?

The previous director of 20 years was retiring due to ill health. We had been friends since I moved into the development six years ago and I had been helping out with the management. I had no burning ambition to be a director but at the AGM when the previous director announced his impending retirement, I was nominated by one of the owners! 

How has Curtis, your Client Relationship Manager at Charles White, supported you in your role as director?

Curtis is very good at communicating, this has enabled much better outcomes than we had with our previous managing agent.

Would you recommend Charles White as a managing agent in Northern Ireland?

There was a period of adjustment when Charles White took over the development. There were new systems to implement, and we had to sort out the best communication methods. Since Curtis has taken over management of our development, things have greatly improved.
